GENERAL TERMS OF TRADUCTA SA
1. Scope
All orders from Traducta SA's services by fax, e-mail or mail, imply the client's full and unreserved acceptance of the following general terms.
2. Text to be translated
The client agrees to provide Traducta SA with the texts to be translated in a typed or printed form, excluding any other presentation or medium. Technical texts should come with reference documents provided by the client and/or drawings or figures to help understand technical texts ; technical texts are standardised according to definitions given in any technical dictionary. In the event of any difficulty in understanding the text's form or substance, the client agrees to provide any information helping Traducta SA to complete the translation. The translations are for the sole use of the client and any reproduction or use thereof for commercial, advertising or other purposes shall be under its sole responsibility and Traducta SA declines any responsibility therefor.
3. Delivery terms
The delivery terms specified in Traducta SA's offers or order confirmations are given for informational purposes. In the event of any difficulty in understanding the text to be translated, such delivery terms may be extended by a period equal to the research time. Traducta SA's declines any responsibility for translation deliveries delays by fax, mail or e-mail, or other postal means, and in force majeure events.
4. Settlement
The prices are given without taxes, VAT extra; the counting unit for a translation is a line. Unless otherwise specified, Traducta SA's invoices are net, without discount and payable on receipt. Any late payment will result in 10 % annual late payment interests. Traducta SA reserves the right to interrupt any current work in the event of late payments, and all orders for translations are irrevocable.
5. Complaints
No complaint related to the quality or delivery of the ordered work will be taken into account unless it is sent to Traducta SA by signed letter sent by registered mail with receipt confirmation within 5 working days after the delivery of the work. Such complaints should include the original documents and disputed translations with a mention of the alleged improperly translated sections. No complaint will be accepted after such time. In the event of justified complaints made within the above-mentioned time, Traducta SA shall make necessary corrections promptly, and the full price shall remain owed. Traducta SA declines any liability for complaints based on style, including in advertising areas.
6. Confidentiality
Traducta SA agrees to protect the confidentiality of the documents provided by the client and not to disclose any information to third parties, whether in the framework of the translation or thereafter. Traducta SA declines any liability for any case of hacking, including during Internet transfers of the client's documents and translations.
7. Liability
Traducta SA's liability for any loss sustained by the client or any third party in connection with any failure to perform its duties shall be limited to the amount equal to the maximum price collected for the translation.
8. Applicable law and jurisdictional clause
All dealings between Traducta SA and the client shall be governed by the laws of Switzerland and any dispute arising between them shall be brought before the ordinary courts with jurisdiction over the registered offices of Traducta SA, in Lausanne.
The client declares that they understand and agree to the entire content of these General Conditions, which become an integral part of the contract that binds the client and Traducta.
